SA billionaire family taking full control of Mediclinic SA

STELLENBOSCH — Remgro is moving to take full control of a Southern African private healthcare business with net assets worth almost R16.8 billion, in a major restructuring that will split ownership of Mediclinic’s South African and Swiss operations between the investment group and its international partner.

The transaction will give Remgro 100% ownership and control of Mediclinic’s Southern African operations, including its interests in Intercare and emergency medical services provider ER24. Investment Holding Limited (IHL), a subsidiary of MSC Mediterranean Shipping Company Holding, will in turn take complete ownership of Hirslanden, Mediclinic’s Swiss hospital business.

Remgro and IHL currently each hold 50% of Mediclinic Holdings. The restructuring effectively separates two of its largest regional healthcare businesses, allowing each shareholder to take full control of an operation in its respective home market.

The scale of what Remgro stands to control is substantial.

Mediclinic Southern Africa operates 50 hospitals, 15 day clinics, six sub-acute facilities and six mental health facilities across South Africa, as well as three private hospitals in Namibia. The network has more than 8,991 beds, including facilities operated by Intercare, in which Mediclinic Southern Africa holds a majority stake.

According to Mediclinic Group’s unaudited interim financial statements for the six months ended September 2025, the Southern African business had net assets with a book value of approximately R16.758 billion and generated approximately R989.5 million in after-tax profit during the period. Remgro currently has an indirect 50% effective interest in the business.

The transaction values both Mediclinic Southern Africa and Hirslanden at US$950 million each, based on agreed valuations as at 30 June 2025. Rather than a straightforward cash acquisition, the restructuring is designed largely as an exchange of equivalent interests between the two shareholders.

If both sides of the transaction proceed at the same adjusted value, Remgro will effectively exchange its 50% interest in Hirslanden for IHL’s 50% interest in Mediclinic Southern Africa. Neither side would receive the US$950 million as conventional sale proceeds under that scenario, although a cash equalisation mechanism will apply if the final adjusted values differ.

The deal does not mean Remgro and IHL are completely separating their healthcare interests.

The two companies intend to retain their 50% interests in Emirates Healthcare, which houses Mediclinic’s Middle Eastern operations, as well as their indirect minority interest in UK-listed Spire Healthcare.

Remgro said the restructuring reflects increasingly different healthcare conditions across the markets in which Mediclinic operates. Regulatory requirements, pricing pressures, ageing populations, chronic disease and rapidly developing medical technology are changing how healthcare businesses operate, leading the shareholders to conclude that full ownership in their respective home markets could allow greater strategic and operational flexibility.

For South Africa, the result would place one of the country’s largest private healthcare networks entirely under Remgro’s control at a time when the private healthcare sector faces significant regulatory and policy change.

The transaction remains subject to several conditions, including approvals from the South African Reserve Bank’s Financial Surveillance Department and competition authorities in South Africa and Namibia. The Swiss component also requires regulatory and other approvals, with 30 September 2027 set as the long-stop date for outstanding conditions.

Until implementation, Mediclinic’s existing governance and oversight structures are expected to remain in place, while day-to-day operations will continue normally. Remgro and IHL said continuity for patients and employees would remain a priority during the restructuring.

If the required approvals are secured, Remgro will emerge with complete ownership of a Southern African healthcare network spanning hospitals, day clinics, mental health facilities, emergency medical services and other healthcare operations, replacing the shared ownership structure that currently sits above Mediclinic.
